Pursuant to the Euronext Growth Milan Issuers Regulation, those participating in the capital of Metriks AI S.p.A. SB (the “Issuer”) must report any “Substantial Change,” i.e., reaching or exceeding the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66.6%, and 90% of the Issuer’s share capital, as well as any reduction below these thresholds (the “Substantial Change”). In cases where multiple-voting shares are issued, a shareholder holding 5% on the basis of ordinary shares is also included. Moreover, in the case of multiple-voting shares, for the purposes of the notification obligations, “share capital” is understood to mean both the total number of voting rights and the number of ordinary shares held, and both notifications are required.

For the calculation of the holdings of a so-called significant shareholder—that is, one holding at least 5% or more in a category of shares on Euronext Growth Milan (excluding own shares) under the regime for significant holdings provided by the Consolidated Finance Law—the following must be taken into account:

  • the holdings directly owned by the shareholder (even if the voting rights are held or attributed to third parties);
  • the holdings for which the voting right is held or attributed;
  • the shares held by nominee entities, trustees, or controlled companies, or for which the voting right is held or attributed to such subjects; and
  • the shares collectively pledged in a shareholders’ agreement aimed at exercising the voting right in the Issuer.

For the purposes mentioned above, promptly and in any event within 4 trading days from the transaction that triggers the obligation (regardless of the execution date) or from the day the shareholder becomes aware of events leading to changes in the Issuer’s share capital, the significant shareholder must notify the Issuer of the following:

  • Their identity;
  • The date on which the Issuer was informed;
  • The date on which the Substantial Change in holdings occurred;
  • The nature and extent of the significant shareholder’s participation in the transaction (in cases of multiple-voting shares, the number of voting rights and the number of ordinary shares held).

The notification must be submitted using the attached form and sent via certified email (PEC) to the following address: pec.metriksai@pec.it with a copy to tommaso.bartoli@metriks.ai.
