The Board of Directors, appointed by the Shareholders’ Meeting on May 21, 2025, shall remain in office for three fiscal years, that is, until the date of the Shareholders’ Meeting convened to approve the financial statements for the fiscal year ending on December 31, 2027.
Tiziano Cetarini is an entrepreneur with solid experience in corporate finance, digital innovation, and technology applied to business.
He graduated with honors in Corporate Governance from the University of Florence and began his career in the banking and consulting sectors before founding Rewind in 2011, a company specialized in corporate finance.
Over the years, he has enriched his education with an Executive Master in Digital Evolution from SDA Bocconi and an Executive Master in Big Data & Data Analytics from the Politecnico di Milano.
In 2019, he co-founded Change Capital, a fintech platform for credit and subsidized finance, now part of the TeamSystem Group.
A visionary with a focus on impact, he leads projects that combine data, technology, and people to build high-value solutions for businesses.
Born in Montevarchi (AR) on October 20, 1986, she earned three university degrees from the University of Florence: a Bachelor’s degree in Economics and Business (2008), a Master’s degree in Banking, Insurance and Financial Markets (2010), and a second Master’s degree in Accounting and the Liberal Professions (2018).
In December 2019, she obtained her qualification to practice as a Chartered Accountant (Arezzo Register), and in January 2020, she was certified as a Statutory Auditor (Register of Statutory Auditors).
From 2011 to 2022, she collaborated with the Benelli and Arcangioli firm in San Giovanni Valdarno, providing tax and corporate consulting, statutory auditing, and preparing financial statements and tax returns.
She is currently Chief Financial Officer at Metriks, responsible for general and analytical accounting, preparation of financial statements and management reports, economic and financial planning, coordination of administrative activities, and process optimization in support of strategic management.
Born in Forlì (FC) on October 12, 1973, he graduated with top marks in Economics and Business from the University of Bologna in 1997.
He pursued an academic career at the Department of Business Sciences of the same university, where he served as a PhD candidate, researcher, and eventually professor of Business Administration.
He works as a technical consultant for judicial authorities (Courts and Public Prosecutors), with specialized assignments in organizational models under Legislative Decree 231/2001, codes of ethics, compound interest, usury, and insolvency assessments.
He has held institutional roles as court-appointed expert and member of expert panels for evaluating the adequacy of organizational models (MOGs).
He holds positions in corporate governance bodies and also acts as advisor and certifier in financial restructuring, recovery plans, and management control.
He is the author of technical reports, professional opinions, business plans, and due diligence, and provides consulting to public and private companies in development, reorganization, and managerial training processes.
He is also an appraiser registered with A.S.I. and in the expert registers of Italian courts for the evaluation of vintage vehicles.
